Legal Counsel - Capital and Prediction Markets

• Handle legal and regulatory matters for SEC-registered businesses in the United States


• Advise on Securities laws, SEC regulations, FINRA rules, and related cross-border issues, primarily involving Europe


• Apply legal expertise to securities products, tokenized securities, single stock futures, equity perpetuals, prediction markets, derivatives, and related regulatory requirements


• Assist business units with contract terms, negotiations, licensing, data provisioning, and broader operational legal support


• Draft, review, and update policies, procedures, terms and conditions, and trading rules for regulated US products


• Represent OG.com on various matters with the SEC


• Review marketing and sales literature, presentations, and educational materials for SEC compliance


• Work with external counsel to ensure arrangements comply with applicable laws and regulations


• Provide proactive legal and regulatory guidance to stakeholders for product and service development and launches


• Identify, analyze, and mitigate legal and regulatory risks while maximizing commercial opportunities


• Report to the Chief Legal Officer in the United States

Requirements

• Qualified/licensed lawyer


• At least 5 years of experience in financial product legal and regulatory work handling issues for SEC-regulated clients in a major law firm, licensed entity (broker-dealer or national securities exchange), or at the SEC


• Excellent knowledge of US financial laws and regulatory structures


• Track record of maintaining licenses and building products and operations under these frameworks


• Knowledge of cross-border interaction of US financial laws and regulatory structures


• Familiarity with industry practices and professional standards


• Excellent English verbal and written communication skills


• Strong organizational and project management skills


• Ability to handle high volume and balance competing demands


• Ability to communicate concisely and effectively with business teams and management


• Ability to develop and maintain stakeholder relationships


• Willingness to accommodate calls and meetings across different time zones


• Ability to identify problems and propose solutions
