Senior Tax Counsel - US (Los Angeles)

Responsibilities About the role We are seeking an experienced tax professional with a legal background to provide coverage with respect to tax structuring/planning, tax controversy, and the tax aspects of product launches and M&A transactions in the United States. The role will partner closely with business, legal, accounting, and operations teams across a broad range of business and operational activities. Review and revise the tax provisions in legal documentation, including transactional agreements, terms of services for product launches, and contracts with third parties. Conduct tax research and advice on tax structuring and planning matters. Where applicable, manage US federal tax audits and draft responses related thereto. Provide transactional support from a tax perspective, including tax due diligence and modeling, for M&A transactions in the United States. Work closely with business and operations teams and provide tax assessments/solutions to product launches and similar business matters in the United States. Serve as the point person and assist other tax team members with respect to tax research and analyses in Subchapters C and K. Qualifications Minimum Qualifications Juris Doctorate (JD). At least 5 years of experience in positions of increasing responsibility at a law firm and/or the M&A group/national office of a major public accounting firm. Preferred Qualifications Strong tax technical skills in Subchapter C and US international tax; meaningful experience in Subchapter K. Excellent tax research and analytical skills. Excellent written and verbal communication skills, with strong attention to detail and the ability to communicate complex tax issues clearly to non-tax stakeholders. Ability to balance technical tax requirements with commercial objectives and provide practical, business-oriented advice in complex situations. Ability to work on multiple tasks at the same time while maintaining a clear and commercial view of the larger picture. Compensation may vary outside of this range depending on a number of factors, including a candidate’s qualifications, skills, competencies, and experience, and location. Base pay is one part of the total package that is provided to compensate and recognize employees for their work, and this role may be eligible for additional discretionary bonuses/incentives, and restricted stock units.
