Senior Manager, Executive Compensation

What You'll Do: This role partners closely with the Senior Director, Global Compensation, while collaborating with the VP, Total Rewards and cross functional stakeholders to develop, implement, administer, and continuously enhance executive compensation programs. The role serves as Criteo's internal subject matter expert on executive compensation governance and supports the Compensation Committee and Board of Directors through high-quality analysis, governance, executive equity administration, and public company disclosure activities. This role is ideal for an executive compensation professional who combines strong analytical capability with sound judgment, attention to detail, and a passion for governance. The successful candidate will thrive in a collaborative, fast-paced environment and be comfortable translating complex compensation matters into clear, actionable recommendations. The position will be based in New York. Given the global nature of the role, flexibility to collaborate across multiple time zones is expected. Key responsibilities include: Executive Compensation Strategy & Governance Lead the implementation, administration, and continuous enhancement of executive compensation programs while partnering closely with the Senior Director on program design, strategy, governance, and market positioning, including: Executive base salary reviews Annual and long-term incentive programs Executive employment offers and promotion packages Executive severance arrangements Executive share ownership guidelines Develop executive compensation analyses, market benchmarking, competitive assessments, and financial models to support executive compensation recommendations and decision making. Support the preparation of Compensation Committee and Board materials, including market analyses, management recommendations, presentation materials, and governance documentation. Partner with the Senior Director and external executive compensation advisors to evaluate market practices and develop recommendations for executive compensation programs. Support ad-hoc executive compensation matters such as promotions, retention needs, organizational changes, and terminations Compensation Committee Operations Coordinate Compensation Committee and Board meeting deliverables, ensuring materials are accurate, high quality, and completed within established timelines. Manage executive compensation calendars and recurring annual governance processes. Coordinate cross functional activities across Legal, Finance, Payroll, HR, Investor Relations, and external advisors to support Compensation Committee and Board deliverables. Document Compensation Committee decisions and coordinate implementation of approved actions and follow up activities. Continuously improve Committee processes, timelines, and supporting documentation. Executive Equity Strategy & Governance Support the governance and administration of executive equity programs. Partner with the Senior Director, Legal, Finance, and other stakeholders on executive equity programs, equity plan administration, and governance processes. Support the development and evolution of omnibus equity plans, award agreements, executive equity policies, and share reserve analyses. Develop analyses supporting executive equity positioning, share utilization, dilution, burn rate, long term incentive design, and share reserve planning. Monitor market trends relating to long-term incentives, executive equity, and governance practices and provide recommendations for consideration. Proxy, Disclosure, and Regulatory Support Support the preparation and review of executive compensation disclosures for the annual proxy statement and other applicable regulatory filings. Coordinate the collection, validation, and review of compensation data required for the Compensation Discussion and Analysis, executive compensation tables, and related disclosures. Partners with Legal, Finance, Investor Relations, external counsel, and other advisors to ensure executive compensation disclosures, shareholder communications, and related filings are accurate, complete, and consistent with Compensation Committee decisions. Support the development of disclosure narratives relating to compensation philosophy, program design, pay for performance, governance practices, and Compensation Committee decisions. Prepare and validate executive compensation calculations, analyses, and supporting schedules for proxy disclosures, Board materials, and other regulatory reporting. Program Governance & Regulatory Support governance activities including Say on Pay, claw back policies, share ownership guidelines, change in control programs, executive equity governance, executive compensation disclosures, compensation risk assessments. Monitor emerging governance trends, executive compensation regulations, proxy advisor guidance, and disclosure requirements, and identify implications for Criteo's executive compensation programs. Support periodic reviews of executive compensation programs to ensure alignment with governance standards, regulatory requirements, and market practices Business Partnership Build strong partnerships with Legal, Finance, Payroll, Investor Relations, Talent Acquisition, People Business Partners, and other HR teams. Partner with HR and business leaders to support executive hiring, promotions, retention arrangements, organizational changes, and other executive compensation matters through data driven analyses and market informed recommendations. Support enterprise initiatives including organizational design, executive succession, acquisitions, and other strategic projects requiring executive compensation expertise. Who You Are: Experience Bachelor's degree in finance, Human Resources, Economics, Accounting, Business, or another quantitative discipline preferred. 7+ years of progressive compensation experience, including meaningful experience in executive compensation. Experience supporting executive compensation within a publicly traded company, executive compensation consulting firm, or advising publicly traded companies. Experience supporting Compensation Committees, Boards of Directors, or senior executive leadership. Experience supporting annual proxy statement preparation, executive compensation disclosures, and related data validation. Strong understanding of executive compensation programs, equity compensation, governance practices, and public company disclosure requirements. Experience working with executive compensation consultants, external counsel, and other advisors preferred. Experience supporting compensation in a global, matrixed organization preferred. Experience with HRIS and compensation technologies, such as Workday, preferred. Technical Expertise Strong executive compensation and equity knowledge. Strong understanding of corporate governance principles, executive compensation regulations, and evolving market practices. Strong analytical and problem-solving skills with the ability to interpret complex financial and compensation data. Advanced Microsoft Excel skills, including complex financial and comparative modeling. Advanced PowerPoint skills and experience preparing executive and Board level materials. Executive Effectiveness Strong executive presence with the ability to exercise sound judgment when advising senior leaders and navigating sensitive compensation matters. Ability to synthesize complex information into concise, executive-ready recommendations and presentation materials. Excellent written communication and presentation skills. Ability to build credibility and work effectively with senior executives and cross functional stakeholders. Professional Attributes Strong judgment and discretion when balancing governance requirements, business objectives, and confidential executive matters. Exceptional accuracy and attention to detail, particularly when preparing Board materials, executive compensation analyses, and public disclosures. Demonstrated ability to manage highly confidential executive compensation matters with the highest level of professionalism, integrity, and discretion. Strong project management and prioritization skills, with the ability to manage multiple governance and disclosure deadlines. Demonstrated intellectual curiosity, a continuous improvement mindset, and a proactive approach to enhancing programs and processes.
