Overview:

Fairview is looking for a Paralegal or Senior Paralegal to join our legal team! Paralegal/Senior Paralegal will be responsible for managing and supporting various corporate governance initiatives on behalf of Fairview Health Services and its subsidiaries and for supporting contracting needs across its businesses (i.e. service lines, hospitals, clinics, related business services, etc.). Paralegal/Senior Paralegal will work in cooperation with the Executive Assistant to the CEO/Board, CEO, CAO, and business partners. Paralegal/Senior Paralegal will use independent judgment to perform legal related work under the general supervision of an attorney. Paralegal/Senior may work with any or all the staff in the Legal Department on various other legal matters.

This position will be part of the Legal Department and will report to the Senior Paralegal, Manager, as well as indirect reporting to the General Counsel, Executive Vice President, and Senior Associate General Counsel, VP President.They have the opportunity to work primarily from home, but would need to come in for board meetings for a few days at a time 5x/year.

Responsibilities/Job Description:

This Paralegal/Senior Paralegal position will primarily focus in the two main areas of contracting and corporate governance/entity management as further detailed below.

Contracting Responsibilities:

The Paralegal/Senior Paralegal will be responsible for preparing and reviewing healthcare related contract requests as requested by leaders throughout the Fairview System, including clinical professional services agreements and research-related agreements. This includes guiding the development of the business terms, any applicable fair market value review, drafting, file preparation for attorney review, and advancing the contract through completion.
Additional responsibilities include, but are not limited to, reviewing active contracts with designated business managers on an annual basis (and ad hoc as necessary), database management, file management, reporting, contributing to process review and development, coordinating, and maintaining contract templates, policy education, and other work as needed.

Corporate Governance Responsibilities:

The Paralegal/Senior Paralegal will manage and support various corporate governance initiatives for Fairview Health Services and its subsidiaries in cooperation with the Executive Assistant to the CEO/Board, CEO and CAO.
This position provides corporate leadership and advice to company leadership, acts in connection with the CAO/General Counsel as meeting secretary for Board of Director and/or Committee meetings, and serves as a liaison with members of Law, other corporate functions, Fairview businesses, and members of the Fairview Health Services Board of Directors as well as other Legal Department related duties as assigned by the CAO/GC.

Corporate Entity Management Responsibilities:

The Paralegal/Senior Paralegal will be responsible for updating the corporate entity database, facilitating filings as required by the Secretary of State (e.g. annual reports and assumed names), maintaining corporate record books, keeping track of Board positions and other related work to support Fairviews corporate entities.

Corporate Governance/Entity Management:

Develops and executes strategy for Corporate Governance of Fairview Health System.
With the Executive Assistant to the CEO/Board Supports key board engagement and corporate governance activities for Fairview Health Board of Directors and Executive Office.
Develops Governance Strategy with the Companys General Counsel, senior officers of the Company, including the President and CEO, and the Legal Department.
Manages and collaborates with teams that work with members of the Fairview Health Board of Directors, internal and external stakeholders to monitor, analyze, interpret and administer corporate governance requirements requiring deep understanding of Fairview Health businesses, legal entity requirements governance policies and documents, and Minnesota law and other legal requirements.
With the Executive Assistant to the CEO/Board, drafts, reviews and revises Board and Committee charter documents, and governance guidelines.
Reviews and prepares Board materials.
With the Executive Assistant to the CEO/Board works with senior management to prepare and distribute board materials and presentations, ensuring adherence to organizational standards, board committee responsibilities, and meeting objectives.
Drafts and/or reviews corporate minutes, resolutions, written actions, consents, etc.
With the CAO/GC, assist in acting as corporate secretary for Fairview and its subsidiaries as appropriate.
Oversees subsidiary corporate governance, general corporate filings, and registrations.
Advises, manages, and supports corporate governance matters for Fairview Health Operating Units, Subsidiaries, Joint Ventures, and other affiliates, including restructuring transactions and coordinating with internal and external counsels as well as business partners.
Plays a leadership role in efforts to streamline work processes and improve the services provided by the department.
Serves as the Primary Vendor Relationship Manager for parent company board portal, subsidiary management database, and registered agent vendors. Oversee these governance programs and budgets.
Oversight of Assumed Name registrations, DBA, and other corporate entity management duties.
Oversight of Annual Report filings.
Aids with various corporate governance related activities (e.g., Corporate Compliance, Enterprise Risk Management, etc.).
Analyzes and opines with respect to the Minnesota Nonprofit Corporation Act or applicable laws of other jurisdictions and Company governance documents.
Creates governance training materials including tools and templates for minutes, resolutions, duties of JV board members.
Assists other attorneys and/or paralegals in support of Legal Department initiatives, including contracting, legal research, development and maintenance of metrics and dashboards or other projects as assigned by attorneys.
Performs other duties as assigned by the CAO/General Counsel.
Collaborates with team members involved in the governance process to create a positive customer experience (both internal and external) with a focus on collaboration and continuous improvement.
Prepare legal memos, correspondence etc. on various topics.

Contracting:

Respond to and manage the advancement of contract requests. This includes working within the established process.
Prepare and draft contracts based on developed business terms, fair market value review and legal standards.
Prepare Business Associate Agreement as applicable.
Develop and maintain contract templates for use by the Legal Department.
Assist attorneys in identifying and investigating areas of legal risk related to the federal Stark rules when processing and reviewing contracts.
Work with other business units as necessary (e.g. Risk, Finance, Supply Chain, Privacy, etc.).
Respond to questions and inquiries.
File management to ensure proper documentation is readily available in a clear and concise manner.
Database management (includes iManage, SharePoint, other).
Manage deadlines.
Tracking and reporting.

Provide training as needed (for example, train business team members on contract request process).
Support the subpoena process, as needed.
Participate in process improvement and development.
Review vendor and other contracts to identify legal issues prior to attorney involvement.
Prepare legal memos, correspondence, etc. on various topics.
Identify opportunities for standardization and implement efficiencies in dept operations.
Conduct routine and specific legal and factual research and data compilation.
Perform issue analysis and identify alternative solutions.
Serve as a point of contact for internal and external customers when attorneys are unavailable or to determine which attorney to send the matter to.
Assist with the upkeep of the Legal Dept website and create content for the website.
Work cooperatively with all members of the Legal Department.
Assist with other projects as requested.

Qualifications:

Required Qualifications:

Bachelors Degree in related field or significant and relevant experience working as a Paralegal.
Previous experience as a Contract Specialist, Paralegal, or equivalent position working for business or law firm or in a corporate or health or healthcare related field and/or previous experience managing and supporting various corporate governance initiatives.
Senior Paralegal requires a minimum five years of experience of governance experience, as a Paralegal and/or as a Contract Specialist, Paralegal or equivalent position working for a business or law firm in a corporate or health care related area. Knowledge and experience of health care rules, regulations and topics is highly preferred.

Preferred Qualifications:

Bachelors degree in legal, business or health care related field.
Knowledge and experience working in health care.
Paralegal Certificate from an American Bar Association approved institution.

Additional Qualifications:

Accuracy, detail oriented, critical thinking, organizational skills, and ability to use MS office programs, including Teams. Prior experience working remotely a plus.
