§ The incoming Senior Corporate Attorney will serve as a primary transactional lead and trusted legal advisor, managing complex business transactions from initial deal structuring through post-closing integration.
Drafting, reviewing, and negotiating a comprehensive array of sophisticated transactional agreements, including stock and asset purchase agreements, buy/sell agreements, joint venture agreements, shareholder agreements, and operating covenants.

• Formulating custom corporate governance frameworks, charter documents, and commercial contracts for middle-market business entities and entrepreneurial founders.
• Serving as direct outside general counsel to client leadership, providing real-time strategic guidance to identify, evaluate, and mitigate commercial, legal, and operational risks.
• Interfacing directly with C-suite executives, institutional lenders, opposing counsel, and cross-border commercial stakeholders.

§ Candidates must demonstrate exceptional legal acumen, mature commercial judgment, and substantive experience leading middle-market corporate matters.

• from an ABA-accredited law school with an outstanding academic record.
• Eight (8) to Ten (10)+ years of substantive corporate, transactional, and M&A experience within an established law firm environment.

Comfortable drafting and negotiating the exact documents listed: buy/sell agreements, M&A documents, formations/restructurings, shareholder/operating agreements, and commercial contracts
Direct client contact experience — someone who can serve as a trusted advisor to middle-market business owners, not just execute behind a partner.
Ability to manage due diligence, timelines, and risk without heavy supervision.
The following credentials and legal proficiencies will increase the individuals chance to thrive and succeed in this position:
Experience representing and serving middle-market corporation and startup entrepreneurs and privately held companies
Deep familiarity advising closely held businesses, family offices, and middle-market entrepreneurs on corporate succession planning and commercial restructuring.

• Substantive experience negotiating commercial finance facilities, debt instruments, and equity financing arrangements.
• Working knowledge of tax-efficient transaction structuring and cross-border commercial considerations.
• You will need to provide law school transcripts, a writing sample or deal sheets, and a cover letter in order to be considered for this role.
