Job Overview
A law firm seeks a Senior Corporate Attorney in New York City, NY. The ideal candidate will manage complex business transactions from inception through completion, providing strategic counsel and serving as a trusted advisor to middle-market entrepreneurs, preferably with some security experience. This role requires four days in the NYC office and one day remote.
Duties
Oversee and manage corporate transactions from initial structuring through closing.
Draft, review, and negotiate transactional documents, including buy/sell agreements, mergers and acquisitions, and corporate formations.
Provide strategic legal guidance to middle-market business clients.
Interface directly with clients, opposing counsel, and other stakeholders.
Conduct due diligence and manage transaction timelines.
Identify and mitigate legal and business risks.
Requirements
- 8-10+ years of experience in corporate and transactional law.
- Demonstrated experience handling middle-market business transactions.
- Strong drafting, negotiation, and analytical skills.
- Ability to independently manage matters from inception to completion.
- Excellent client-facing and communication skills.
Education
Juris Doctor (JD) degree.
Certifications
Admitted to practice law in New York State.
Skills
Strong leadership and strategic thinking abilities.
Proficiency in managing sophisticated transactions.
Excellent interpersonal and relationship-building skills.
