Counsel business owners and organizations on a broad range of transactional and corporate matters.
Draft review and negotiate commercial contracts operating agreements shareholder agreements and related business documents.
Advise clients on entity formation governance ownership structures and business transactions.
Support mergers acquisitions reorganizations and other strategic transactions as applicable.
Identify legal and business risks and provide practical commercially focused solutions.
Manage transactional matters from initial consultation through drafting negotiation and closing.
Build strong client relationships and serve as a trusted advisor on ongoing business needs.
Collaborate with attorneys staff accountants financial professionals and other advisors.
Contribute to business development efforts and take an active role in growing your own practice within the firm.
2 years of business transactional experience required.

• Strong contract drafting negotiation and client counseling skills.
• Experience with corporate governance entity formation commercial agreements or business transactions.
• Genuine interest in growing professionally and helping build the practice.
• M&A succession planning tax-sensitive transactions or closely held business experience is a plus.
