Job Overview A law firm seeks a Corporate Associate in Fort Lauderdale to represent healthcare practices and private equity firms in business transactions within the healthcare industry. Duties Represent healthcare practices and private equity firms in business transactions. Conduct legal research on healthcare laws and regulations. Advise clients on regulatory compliance, including HIPAA and corporate structuring. Draft and negotiate various agreements and ancillary documents. Conduct due diligence and prepare contract review charts. Coordinate with clients and opposing counsels. Lead transaction closings. Draft company governance documents. Provide general corporate consultations. Requirements JD, LLM, or foreign equivalent degree. 2 years of experience in private equity transactions, venture capital transactions, and mergers and acquisitions in healthcare. Experience advising clients in healthcare, pharmaceutical, medical device, and health insurance industries. Experience in cross-border transactions and representing public companies in complex transactions. Admitted to practice law in Florida. Education JD, LLM, or foreign equivalent degree. Certifications Admitted to practice law in Florida. Skills Strong legal research and drafting skills. Ability to advise on regulatory compliance and corporate structuring.
