Required Skills & Experience
• Juris Doctor (J.D.) from an accredited law school; active membership in at least one U.S. state bar, required. \n• 3–6 years of experience in commercial real estate, financing, and/or data centerrelated transactions, \nrequired. \n• Experience drafting and negotiating complex transactional documents. \n• Experience identifying legal risk and collaborating with business teams to resolve issues. \n• Experience working with lenders, developers, utilities, and/or data center operators is a plus. \nProficiency with Microsoft Word, Excel, SharePoint, and Teams.

Job Description

The Associate Counsel will support their legal needs across real estate, financing, and data center development \nactivities. This role provides transactional support for property acquisitions, leasing, financing, construction, \nand operational matters. The attorney will collaborate closely with internal teams and external partners to \nensure timely, compliant, and businessaligned execution of all legal documents and processes. \n \nRESPONSIBILITIES \n• Draft, review, and negotiate real estate documents including purchase agreements, leases, development \nagreements, and related transactional materials. \n• Support financing transactions, including loan documents, credit facilities, security instruments, and lender \ndue diligence. \n• Assist with data center development matters such as power procurement, utility agreements, and \ninfrastructurerelated contracts. \n• Conduct legal due diligence for acquisitions, leasing, and development projects, including title, survey, \nzoning, and environmental review. \n• Review and advise on customer lease terms and conditions; identify risks, propose solutions, and support \nnegotiation strategy. \n• Coordinate with internal teams to resolve transactional issues and advance project timelines. \n• Maintain organized contract files, closing binders, and legal documentation throughout the project lifecycle. \n• Prepare periodic reports, summaries, and legal analyses for internal stakeholders. \n• Ensure compliance with company policies, regulatory requirements, and industry standards. \n• Identify opportunities to improve contract templates, processes, and legal workflows. \n• Communicate clearly and effectively with internal teams, external partners, and customers.
