About the Role
The Company is seeking a VP, Transaction Counsel to join their team. The successful candidate will be responsible for the full spectrum of legal work related to acquisitions and reinsurance, including drafting, reviewing, and negotiating complex agreements. This role requires a hands-on approach to legal diligence, risk assessment, and execution, and the ability to manage multiple transactions simultaneously. The VP, Transaction Counsel will also be expected to partner with various internal teams to assess transaction risks, present legal and regulatory issues, and coordinate with external counsel as needed. Applicants must have a J.D. from an accredited law school, active bar membership, and a minimum of 6 years' of relevant transactional legal experience, with a focus on life insurance and/or reinsurance transactions. The role demands exceptional drafting and negotiation skills, as well as a strong understanding of life insurance products and the regulatory considerations affecting insurance transactions. The ideal candidate will have a background that includes in-force block acquisitions, assumption reinsurance, and experience in independent negotiation leadership. The position is well-suited for a professional with strong commercial judgment, the ability to work autonomously, and a preference for a fast-paced, dynamic work environment.
