Technology Transactions Associate

Overview Our Technology Transactions Practice specializes in advising on complex technology-related deals. We assist clients with structuring, negotiating, and implementing IP and technology-driven agreements, transactions, and strategic alliances, and provide specialized guidance on intellectual property and technology concerns. Clients rely on us to identify and address commercial, legal, and structural risks while driving innovation and reducing costs. We work with a diverse range of clients, from startups to multinational corporations, ensuring compliance and managing risks while achieving optimal outcomes. Our practice serves as counsel to some of the world’s most prominent companies on their intellectual property and technology transactional needs. Position Summary We are looking for a mid-level associate to join our rapidly growing global IP & Technology Transactions practice in our New York or Silicon Valley office. You should have strong academic credentials and a genuine interest in strategic initiatives and commercial transactions involving intellectual property, data and technology. You should also be creative, ambitious and passionate about work, ready for the challenges of working in a global law firm, service-minded with strong interpersonal skills and able to work in a team. Duties and Accountabilities Draft, review, and negotiate IP and technology licensing, SAAS, services, and other standalone agreements, as well as merger, acquisition and joint venture agreements and ancillary documents. Manage deal teams and processes across geographic locations. Solve legal problems relating to new and emerging technologies, including AI/ML. Manage and conduct IP and technology due diligence. Counsel clients on IP and technology strategy matters. Conduct brief or more complex research, or draft memoranda, depending on client needs. Serve as primary point of contact for clients, deal teams, opposing counsel, and other transactional legal teams. Exercise good judgment in internal and external written and verbal communications. Provide direct assistance to senior lawyers on matters arising in the course of day-to-day provision of legal services to leading international and domestic clients. Mentor and train junior team members and attend and participate in continuing education classes and client development initiatives. Salary $310,000 - $390,000 Qualifications 4-7 years of relevant law firm or in-house experience. Background in intellectual property or technology law and experience with licensing and IP standalone transactions as well as general corporate transactions, such as mergers and acquisitions or joint ventures. Significant experience in drafting complex documents, managing large transactions, and handling negotiations. Good understanding of the key risks and issues involved in cross-border transactions.
