Associate General Counsel

We are looking for an experienced Associate General Counsel to join our team in Houston, Texas and provide practical legal support across commercial and corporate matters. This role works closely with business leaders and internal teams to structure, review, and negotiate a wide range of agreements while helping the organization manage risk effectively. The ideal candidate brings sound judgment, strong transactional experience, and the ability to communicate clearly with both internal stakeholders and external parties.Responsibilities:• Lead the preparation, review, and negotiation of commercial agreements, including purchasing, supply, vendor, leasing, construction, equipment, and intercompany contracts.• Advise internal business partners on legal and commercial terms related to deal structure, payment provisions, insurance requirements, bonding obligations, and applicable regulations.• Draft formal contractual correspondence such as notices of default, reservation of rights letters, and other written communications for customers, suppliers, and third parties.• Support operational and project teams by interpreting agreement terms, monitoring contractual obligations, and addressing compliance issues as they arise.• Assist in managing disputes, claims, and litigation matters by gathering facts, evaluating legal exposure, and coordinating strategy with outside counsel when needed.• Help ensure company contracts and business practices align with relevant federal, state, and local legal requirements.• Maintain organized legal records, including executed agreements, amendments, approval history, key deadlines, and ongoing obligations.• Review confidentiality agreements, vendor forms, and internal governance documents to support day-to-day legal needs.• Support corporate housekeeping activities by maintaining minute books and assisting with entity records, filings, and other organizational documentation.
