Finance Associate Attorney (Mid-Level) – New York, New York

Direct Counsel is seeking a Finance Associate Attorney to join a prestigious Am Law firm in its New York office.

This opportunity is ideal for an attorney with 3–5 years of experience in commercial finance and lending transactions. The successful candidate will join a sophisticated finance practice and work on complex financing matters involving borrowers, lenders, sponsors, and other market participants while taking on significant responsibility and client-facing work.

Key Responsibilities:

• Draft, review, and negotiate commitment letters, credit agreements, security agreements, and related financing documents.

• Advise clients on secured and unsecured lending transactions.

• Handle Uniform Commercial Code (UCC) matters, including collateral perfection and related diligence.

• Support acquisition financings, refinancing transactions, and other corporate finance matters.

• Conduct due diligence and coordinate transaction workstreams through closing.

• Collaborate with clients, opposing counsel, and transaction teams to facilitate successful deal execution.

• Work closely with partners on sophisticated financing transactions and strategic client matters.

• Provide practical legal advice on a broad range of financing and corporate issues.

Qualifications:

• J.D. from an ABA-accredited law school.

• Active membership and good standing with the Bar in at least one U.S. jurisdiction.

• 3–5 years of experience in commercial finance, banking, or lending transactions.

• Experience drafting and negotiating credit agreements, commitment papers, security agreements, and related loan documents.

• Strong knowledge of UCC matters and secured lending principles.

• General corporate transactional experience preferred.

• Excellent drafting, analytical, and negotiation skills.

• Strong organizational and project management abilities.

• Ability to manage multiple complex matters simultaneously.

• Outstanding academic credentials and solid law firm experience preferred.
