Mid to Senior Level Corporate & Securities Paralegal

Overview This is a Mid to Senior Paralegal position within a Corporate & Securities group, based in San Francisco, CA. Requires 5-7 years of experience focused on corporate transactions, transactional management, and securities compliance. You will support attorneys on high-level corporate transactions including mergers and acquisitions, venture capital financings, IPOs, and company formations. Key responsibilities involve managing capitalization tables, assisting with equity issuances, option grants, and incentive equity plans. Tasks include drafting and filing SEC forms, blue sky securities filings, related notices, and maintaining corporate governance documents, minute books, and closing binders. You will assist with entity formations, reorganizations, corporate record keeping, data room management, due diligence efforts, and post-closing tasks. The role involves working with a broad array of clients, including high-growth private companies and public companies, with a focus on startup incorporations. Required software proficiency includes capitalization table management platforms (e.g., Carta, Pulley), DocuSign, and MS Office (Word, Excel, Outlook), particularly advanced Excel skills for data analysis and modeling. A Bachelor’s Degree (preferably in Business, Accounting, or Finance) or equivalent work experience is required. Flexibility to work overtime as requested is expected.
