Associate Attorney

A respected national law firm with a strong commitment to advising private equity sponsors, independent sponsors, family offices, and portfolio companies is seeking a Private Equity Associate to join its growing New York practice. The firm has built a reputation for practical, efficient counsel on middle-market transactions, deep experience across the full investment lifecycle, and long-standing relationships with investment professionals nationwide. This opportunity offers substantial deal responsibility, direct client interaction, and the ability to contribute to sophisticated private equity and M&A work within a collaborative, client-focused environment. The Private Equity Associate will focus on supporting leveraged buyouts, growth equity investments, add-on acquisitions, portfolio company matters, and related transactional work for private equity clients and their portfolio companies. Key Responsibilities: Support all phases of private equity transactions, including due diligence, drafting and negotiation of transaction documents, and deal closings Assist with leveraged buyouts, platform acquisitions, add-on acquisitions, divestitures, and exit transactions Draft and negotiate purchase agreements, equity documents, financing-related agreements, and ancillary transaction documents Conduct due diligence reviews and prepare summaries identifying key risks and issues Advise on general corporate matters for portfolio companies, including governance, commercial contracts, and day-to-day counseling Collaborate with colleagues across practice groups (tax, finance, employment, intellectual property, and others) to deliver integrated solutions Participate in client meetings, negotiations, and calls with opposing counsel and other advisors Contribute to business development efforts through research, proposal support, and related activities Maintain consistent communication with clients and partners regarding transaction status, risks, and recommendations Required Qualifications: 3-8 years of relevant experience in private equity, mergers and acquisitions, or corporate transactional practice (law firm experience preferred) Demonstrated experience supporting middle-market private equity or M&A transactions Strong drafting, due diligence, and analytical skills Excellent legal research, writing, and client communication abilities Ability to manage multiple work streams in a fast-paced environment Active New York Bar admission (or eligibility to waive in); Juris Doctor from an accredited law school Interest in private equity, middle-market transactions, and working with sponsors and portfolio companies preferred This is a strong opportunity for a motivated private equity associate seeking high-quality middle-market deal experience, substantial responsibility, exposure to sophisticated transactions, and long-term professional growth within a highly regarded national firm’s New York office.
