Who You Are You have a Bachelor's degree and 5+ years of paralegal experience, focused on corporate transactions and Blue Sky compliance Experienced in supporting technology companies Strong legal writing, editing, and proofreading abilities Highly organized; able to manage multiple priorities and meet deadlines consistently Skilled at analyzing legal information and translating it into actionable documentation What You’ll Do Draft, review, and revise corporate documents and contracts, ensuring accuracy and consistency Maintain and update corporate and stock records, keeping filings current and compliant Prepare and manage entity formation documents across jurisdictions Assist with SEC, Blue Sky, and UCC filings, ensuring all submissions meet regulatory standards Conduct legal research and support analysis for corporate matters Collaborate with internal teams to support transaction-related projects and legal initiatives What Success Looks Like Corporate and stock records are accurate, complete, and up to date Legal documents and filings are error-free and submitted on schedule Entity formations and compliance filings are executed smoothly and efficiently Research and analysis provide clear guidance to support transactions and business decisions Internal stakeholders rely on timely, well-prepared support for corporate matters Salary Range $125,000 – 175,000 annually, based on experience Location New York, NY – Hybrid Gainor is committed to the principle of equal employment opportunity for all employees and to providing employees with a work environment free of discrimination and harassment.
