Our Mergers & Acquisitions practice represents buyers and sellers in lower middle market transactions. Our clients include strategic acquirers, private capital, entrepreneurs, and founder-led and family-owned businesses. We are looking for an experienced M&A Attorney to join our team.

The Role

\n

This is a full-time M&A role with significant responsibility from day one.

\n

The M&A attorney will work closely with the firm's founder on larger transactions, while independently leading smaller transactions from start to finish.

\n

\n

The role is primarily Mergers & Acquisisions, although some time will be devoted to general corporate and transactional matters.

\n

\n

What You'll Do

\n

\n
• Advocate for clients in private M&A transactions.
\n
• Manage smaller transactions from letter of intent (LOI) through closing.
\n
• Support and help lead larger, complex transactions.
\n
• Draft and negotiate LOIs, purchase agreements, disclosure schedules, and ancillary documents.
\n
• Lead and coordinate legal due diligence.
\n
• Manage transaction timelines and closing processes.
\n
• Interact directly with clients, opposing counsel, lenders, accountants, brokers, and other deal professionals.
\n
• Provide practical, action-oriented advice to clients on deal structure, negotiations, and risk allocation.
\n
• Help improve our M&A processes, templates, technology, and client experience.
\n
• Develop relationships with prospective clients and referral partners while building your own book of business.

What We're Looking For

\n

The right candidate combines strong technical M&A skills with the ability to run transactions and manage client relationships.

\n

\n

Qualities include client-facing, responsive, highly organized, and detail-oriented, with the judgment to distinguish between issues that matter and those that do not. This role is ideal for someone who is entrepreneurial and wants to build a practice.

\n

Requirements

\n

\n
• Licensed to practice law and in good standing in North Carolina and/or other state with ability to qualify quickly in North Carolina.
\n
• J.D. from an accredited law school.
\n
• At least 3 years of M&A experience.
\n
• Experience drafting and negotiating purchase agreements and related documents.
\n
• Experience conducting and managing legal due diligence.
\n
• Strong understanding of the M&A process.
\n

·        Self-starter approach to solving problems and getting stuff done with limited supervision.

• Excellent drafting, communication, organizational, and project-management skills.
\n
• Strong client service, responsiveness, and attention to detail.
\n
• Ability to operate independently while collaborating effectively with a small team.
\n
• Interest in business development and developing client relationships.
\n
