Lead Counsel - Capital Markets & Treasury

The Role You will serve as a key legal adviser to the Treasury function, taking ownership of matters including: Debt and equity offerings Rule 144A and other private capital-markets transactions Credit facilities and letters of credit Liquidity and capital solutions Funding agreement-backed products Intercompany lending arrangements Repurchase and reverse-repurchase transactions Derivatives and other treasury matters Corporate governance and securities-law disclosure requirements You will draft and negotiate offering documents, purchase agreements, term sheets, engagement letters, legal opinions and related transaction documentation. And, coordinate cross-functional stakeholders and manage external counsel where appropriate. Ideal Profile JD / US Qualified Attorney 5-8+ years of legal experiencefocused on capital markets, corporate finance or treasury matters Training from a leading law firm, financial institution, insurer or reinsurer Strong debt-capital-markets and securities transaction experience Experience drafting and negotiating complex financing documentation The ability to independently manage transactions from structuring through closing Commercial judgment and confidence advising senior business stakeholders A hands-on, collaborative approach and the ability to manage competing priorities Experience with insurance-capital solutions, funding agreement-backed products, surplus notes, repurchase transactions or derivatives would be advantageous but is not essential. #J-18808-Ljbffr Pure Search
