A leading Fortune 500 insurance company is seeking a Senior Corporate Counsel to join its legal team. This role involves supporting the company's public company obligations and general corporate legal matters. The ideal candidate has a strong background in corporate law, especially within publicly traded companies or law firms focusing on securities and corporate governance. Key Responsibilities: Provide legal counsel on securities law compliance, including drafting and reviewing SEC filings such as Forms 10-K, 10-Q, 8-K, and proxy statements. Advise on corporate governance matters, including board and committee processes, charters, and policies. Assist with preparations for annual shareholder meetings and coordinate with internal teams on disclosure obligations. Support compliance with NYSE/Nasdaq listing standards and securities laws. Collaborate with finance, investor relations, and compliance teams to ensure accurate public disclosures. Contribute to corporate transactions like M&A, joint ventures, and capital markets activities. Stay updated on securities laws and governance best practices, providing guidance to teams. Qualifications: J.D. from an accredited law school and licensed to practice law in at least one U.S. jurisdiction. At least 5 years of experience in corporate law, either in-house at a publicly traded company or at a law firm specializing in securities and governance. Deep understanding of U.S. securities laws, reporting requirements, and corporate governance. Excellent written and verbal communication skills. Strong analytical skills and ability to work independently in a fast-paced environment. Experience in the insurance or financial services industry is a plus but not required.
