Corporate Governance Paralegal

Maintain corporate records, entity databases, minute books, and governance documentation, including resolutions, bylaws, operating agreements, and regulatory filings. Support entity formations, dissolutions, restructurings, and corporate transactions while coordinating with legal, finance, tax, and external advisors. Track and document capital activity, including contributions, distributions, dividends, returns of capital, and ownership transfers, while coordinating closely with finance and tax teams Prepare and manage annual filings, state registrations, NDAs, engagement letters, and other routine corporate agreements. Track and document capital activity, distributions, transfers of interests, and related corporate actions. Assist with board and committee governance, including meeting notices, agendas, resolutions, and minutes. Develop and streamline legal processes, manage multiple projects, and serve as a key liaison among internal stakeholders, financial institutions, and outside counsel. Qualifications 8+ years of corporate paralegal or legal operations experience. Strong corporate governance, entity management, and regulatory filing background. Ability to work independently, manage competing priorities, and operate in a fast-paced environment. Experience with corporate databases and Microsoft Office; Diligent experience is a plus. Exceptional attention to detail, organization, and communication skills. Comfortable interacting with senior executives and cross-functional business teams.
