Senior Corporate Paralegal
Compensation: $150,000 - $200,000 annually
Location: Los Angeles, Century City, Irvine, Palo Alto, San Francisco, Dallas, Houston, NY (Any U.S. Office)
Schedule: Hybrid, 3/2

LHH is partnering with a leading global law firm to recruit a Senior Corporate Paralegal . This position provides comprehensive support for corporate transactions, including due diligence, entity management, corporate filings, transaction closings, and post-closing administration. The role works closely with attorneys across a variety of corporate practice areas, including Mergers & Acquisitions, Private Equity, Finance, Capital Markets, Emerging Companies, and Technology Transactions.

Key Responsibilities

• Support all phases of corporate transactions, from due diligence through closing and post-closing requirements.
• Prepare and maintain due diligence request lists, working group lists, and diligence summaries.
• Coordinate UCC, tax lien, judgment, litigation, and bankruptcy searches.
• Utilize KIRA, Harvey, and other technology tools to assist with document review and diligence processes.
• Prepare disclosure schedules and draft organizational and corporate governance documents.
• Draft stock certificates, stock ledgers, capitalization tables, written consents, and secretary's certificates.
• Coordinate entity formations, qualifications, registrations, mergers, amendments, dissolutions, and related state filings.
• Obtain good standing certificates and certified formation documents.
• Manage transaction closings, including signature packets, closing checklists, executed documents, and closing binders.
• Coordinate notarizations, apostilles, and document execution through DocuSign.
• Track post-closing obligations and deadlines.
• Prepare and file IRS EIN applications, SEC Form ID applications, SEC Form D filings, and related Blue Sky filings.
• Prepare and file UCC financing statements, amendments, and terminations.

Qualifications

• Bachelor's degree required .
• Minimum 10 years of corporate paralegal experience within an Am Law 100 law firm required
• Paralegal certificate from an ABA-approved program preferred.
• Notary commission preferred.
• Experience with Carta required .
• Proficiency in Microsoft Word, Excel, Outlook, Adobe Acrobat, and legal technology platforms.
• Strong analytical, organizational, and problem-solving skills.
• Excellent written and verbal communication skills.
• Ability to manage multiple priorities and deadlines in a fast-paced environment.
• Comfortable working directly with attorneys, clients, and teams across multiple offices.
• Ability to work overtime as needed.

Compensation

Annual Salary: $150,000 - $200,000
