Direct Counsel is partnering with a nationally recognized Am Law firm seeking a Corporate Paralegal to support their Los Angeles Office. The ideal candidate will have 3-10+ years of experience and an ABA-approved paralegal certificate .

In this role, you will be supporting attorneys that have experience with a broad range of transactional and governance matters such as:

• Mergers and acquisitions, 

• Private equity, 

• Publicly and privately traded securities, 

• Corporate maintenance and formation, 

• Corporate finance, 

• Licensing, 

• Venture capital financing.

Duties include, but are not limited to:

• Drafting and reviewing organizational documents, 

• • including articles of incorporation or dissolution, stock certificates, and merger agreements;

• Drafting contracts, such as non-compete agreements; 

• Creating and distributing annual reports; 

• Preparing and filing UCC financing statements; 

• Preparing summaries of corporate statutes; 

• Assisting with due diligence, 

• • including preparing, reviewing, and commenting on due diligence documents, due diligence document inventories, and disclosure schedules;

• Maintaining client minute books and stock ledgers; 

• Preparing and filing documents with government agencies, such as the SEC, IRS and Secretaries of State of multiple jurisdictions; 

• Obtaining EINs; 

• Overseeing the contract process, 

• • including planning, collaboration, negotiation, and execution.

Compensation & Benefits

• Salary range: $100,000 – $140,000 annually
