• Here for the Long Term - Committed to building a career and business with others Position Summary Middle River Power is seeking an experienced Corporate Paralegal to join our legal team and provide support across a broad range of corporate, transactional, and commercial matters related to our portfolio of power generation assets. This Chicago-based role will serve as a trusted, hands-on partner to internal counsel and business stakeholders, with significant responsibility for corporate entity management, transaction support, contract administration, and legal team operations. The ideal candidate is a career paralegal who takes pride in operational excellence, demonstrates exceptional attention to detail, and is comfortable independently managing complex workstreams and competing priorities. This individual will bring a high degree of ownership, sound judgment, and a collaborative approach to supporting a fast-paced legal and business environment. Key Responsibilities
• Maintain corporate records and oversee entity management across a multi-entity organizational structure, including entity formations, foreign qualifications, annual filings, good standing certificates, organizational documents, and minute books.
• Draft, review, and organize corporate and transactional documents, including formation documents, resolutions, written consents, secretary's certificates, officer's certificates, and other corporate governance materials.
• Support attorneys on corporate, transactional, and commercial matters, including acquisitions, financings, commercial contracts, and project development activities.
• Assist with transaction execution and closings, including preparation and management of closing checklists, signature pages, closing sets, and post-closing deliverables.
• Administer and maintain the Company's contract lifecycle management (CLM) system and legal document repositories, including document intake and organization, tracking of key dates and obligations, and version control.
• Independently manage discrete workstreams and processes within larger transactions, coordinating with internal and external stakeholders and maintaining accountability for deadlines and deliverables.
• Support legal team operations, including matter tracking, coordination with outside counsel, and administration of legal invoice review and approval processes.
• Identify opportunities to improve legal team processes, document management practices, and administrative workflows to promote efficiency, consistency, and accuracy. Qualifications
• Experience: 10+ years of corporate paralegal experience supporting transactional, corporate, and commercial legal matters; extensive experience in a law firm and/or in-house corporate legal environment preferred.
• Broad experience supporting corporate governance, M&A, commercial, and finance matters; exposure to power generation, renewable energy, energy infrastructure, utilities, or other infrastructure transactions preferred.
• Strong knowledge of corporate entity management, governance documentation, transaction execution, and closing processes.
• Demonstrated ability to independently manage complex projects and material workstreams with limited supervision.
• Exceptional organizational skills and attention to detail, with the ability to effectively manage competing priorities, deadlines, and stakeholders.
• Strong written and verbal communication skills and the ability to collaborate effectively with attorneys, business stakeholders, outside counsel, and other external parties.
• Experience administering legal technology and document management systems; experience with Microsoft SharePoint and Ironclad or a comparable CLM platform preferred.
• A combination of large law firm and in-house corporate experience preferred.
• Demonstrated commitment to the paralegal profession; paralegal certificate or equivalent professional experience preferred.
• Illinois Notary Public commission, or willingness to obtain one, is a plus.
• Demonstrated ownership, accountability, discretion, integrity, collegiality, and a collaborative approach to supporting the legal team and broader organization. This position may be based in one of MRP's office locations or performed remotely. No regular travel is expected for this role. Compensation MRP builds its compensation packages to reward and recognize high-performing talent. Base salary ranges are designed to be competitive by market and take into consideration individual experience, technical skills and long-term career growth. Each employee is also eligible for an annual discretionary bonus based on their level and company annual performance metrics.
