Corporate Associate - Public Companies and Capital Markets

Job Overview Our law firm is seeking a corporate associate with at least 5 years of experience in public company and capital markets for our Palo Alto, CA office. The ideal candidate will have extensive experience in public company reporting compliance, governance, and day‑to‑day issues, including SEC compliance, disclosure matters, and Nasdaq/NYSE compliance. Duties Manage public company reporting compliance and governance. Address day‑to‑day issues for public companies, including SEC compliance and disclosure matters. Represent issuers or investment banks in capital markets transactions. Handle IPOs, equity/debt offerings, PIPEs, and at‑the‑market offerings. Work with technology and/or life sciences companies. Requirements Minimum of 5 years of experience in public company and capital markets. Experience with SEC compliance and Nasdaq/NYSE compliance. Experience in capital markets transactions. Experience with technology and/or life sciences companies is a plus. Education Juris Doctor (JD) degree from an accredited law school. Certifications Admission to the state bar. Skills Strong analytical and problem‑solving skills. Excellent communication and interpersonal skills. Ability to manage multiple projects and meet deadlines.
