Corporate Associate - Capital Markets

Job Overview A law firm seeks a corporate associate in Palo Alto, CA, with 3-5 years of U.S. experience in a large or sophisticated mid-size law firm. The role focuses on SEC-registered securities offerings and U.S. securities law compliance. Duties Advise on equity and debt securities offerings. Ensure compliance with U.S. securities laws and reporting. Support corporate governance initiatives. Collaborate with team members and clients. Contribute to local and national client teams. Requirements 3-5 years of relevant U.S. legal experience. Experience with venture capital financings preferred. Ability to manage projects independently. Strong teamwork and client service skills. Education Juris Doctor (JD) from an accredited law school. Certifications Admission to the California State Bar. Skills Proficiency in securities law and corporate governance.
