Corporate Associate

DNA Partners is representing a leading law firm seeking a Corporate SPAC Associate to join its Capital Markets & Securities Practice. This opportunity is ideal for an attorney with 3-7 years of capital markets experience who is interested in advising public companies, sponsors, and investors on SPAC transactions, securities offerings, corporate governance matters, and SEC compliance. What You'll Do: Advise clients on SPAC transactions, IPOs, PIPE financings, secondary offerings, private placements, and other securities transactions Draft and negotiate registration statements, purchase agreements, warrant agreements, convertible notes, registration rights agreements, and related transaction documents Assist with entity formation, corporate governance matters, and organizational documents Manage due diligence efforts and coordinate transaction execution with issuers, investment banks, auditors, and financial advisors Communicate with the SEC, FINRA, NYSE, and NASDAQ regarding transactional and regulatory matters Prepare proxy statements and assist public companies with annual and special meetings Draft and review Exchange Act filings, including Forms 10-K, 10-Q, 8-K, and Section 16 reports Provide ongoing corporate governance and securities law counseling to public company clients What You Bring: Active New York Bar admission and good standing 3-7 years of capital markets and securities experience at a law firm Experience with public company transactions and SEC reporting matters SPAC transaction experience is a strong plus Strong drafting, analytical, and negotiation skills Knowledge of corporate governance, stock exchange requirements, and securities regulations Ability to manage multiple transactions in a fast-paced environment Excellent communication skills and a client-focused approach This is an exceptional opportunity to join a sophisticated capital markets practice and work on high-profile SPAC, securities, and public company matters alongside an experienced team of attorneys.
