About the Role
The Company is in search of an Associate General Counsel with a focus on mutual funds and the Investment Company Act of 1940. The successful candidate will be responsible for providing legal advice and support related to the U.S. registered fund business, including mutual funds, exchange-traded funds, and closed-end funds. This role involves a diverse range of tasks, from structuring and maintaining registered investment vehicles to advising internal business clients on legal and regulatory matters. The ideal candidate will have a proactive approach, the ability to work independently, and a strong background in mutual funds and the 1940 Act, with at least 5 years' of experience in this area. Key responsibilities for the Associate General Counsel include preparing and reviewing registration statements, ensuring compliance with regulatory requirements, and maintaining productive relationships with regulators and clients. The role also involves drafting and negotiating various contracts, such as investment management agreements and distribution agreements, and staying abreast of new regulatory developments. The candidate should be capable of managing multiple responsibilities and timelines, and be a team player with a focus on superior client service. Experience working with boards of trustees and on intermediary relationships is highly valued, and the candidate should be a member of the New York State Bar or have the ability to waive in.
