Executive Compensation & Employee Benefits Associate

Direct Counsel represents an AmLaw 100 firm seeking an Executive Compensation & Employee Benefits Associate with 3–6 years of post-JD experience to join its sophisticated Tax practice in Washington, DC, Boston, or New York .

The ideal candidate will have experience advising public and private companies on executive compensation, equity incentives, employee benefits, and related tax matters in connection with corporate transactions.

• Advise on executive compensation and equity incentive arrangements in M&A, spin-offs, and other corporate transactions.
• Design and draft equity incentive plans and award agreements .
• Draft and advise on executive employment, severance, and change-in-control agreements .
• Counsel clients regarding Sections 83, 421–424, 409A, 280G, and 162(m) of the Internal Revenue Code.
• Advise on qualified and nonqualified retirement plans, welfare plans, and related compliance matters .
• Collaborate with corporate, tax, and securities attorneys and communicate directly with clients.

• 3–6 years of post-JD experience in executive compensation and/or employee benefits.
• Experience with executive compensation, equity incentive arrangements, and transactional matters .
• Knowledge of relevant Internal Revenue Code provisions and employee benefits regulations .
• Experience advising on retirement plans, welfare plans, and related compliance matters is a plus.
• J.D. from an accredited law school.
• Active bar admission and membership in good standing in the applicable jurisdiction.
• Strong legal writing, analytical, and communication skills.
• Ability to work effectively in an exceptionally collaborative environment .
