Associate General Counsel, Corporate @ Webflow

Empowering Modern Marketing Teams with Agentic Web Platforms Webflow is seeking an Associate General Counsel, Corporate to lead its corporate legal function during a period of rapid growth and transformation. Reporting to the Chief Legal Officer, this senior role is responsible for corporate governance, public company readiness, and strategic transactions, ensuring Webflow's operations remain compliant and strategically aligned as the company matures. The Associate General Counsel, Corporate will manage board administration, oversee entity and subsidiary governance, and provide legal leadership for equity plan administration. This role leads legal due diligence and negotiation for M&A activity, manages complex commercial and financing transactions, and drives public company readiness initiatives, including securities law and SOX compliance. The position also oversees employment and litigation matters, builds and leads the corporate legal team, and optimizes scalable legal processes. Candidates should have a JD with active bar membership and at least 10 years of relevant experience, including time at a nationally recognized law firm and ideally a mix of late-stage private and public company work. Expertise in securities law, corporate governance, M&A, SEC reporting, and SOX is required, along with experience preparing for or managing public company compliance. Strong leadership, communication, and project management skills are essential, as is the ability to balance legal risk with business objectives. Experience in technology or SaaS is preferred.
