Founding Chief Executive Officer: Pre-Seed Stage

PanoraX Energy Corporation is seeking an entrepreneurial, capital-markets-oriented Chief Executive Officer to lead the company through its pre-seed financing, U.S. technology validation, and commercial deployment phase.

PanoraX Energy is developing modular waste-to-energy infrastructure that converts municipal and industrial waste into reliable electricity and thermal energy. Our decentralized platform is designed to address three critical challenges: waste disposal, energy resilience, and the growing demand for scalable distributed power.

CEO Mandate

Working directly with the founders and Board, the CEO will be responsible for:

• Leading PanoraX Energy’s pre-seed capital raise and investor engagement strategy
• Building institutional credibility with strategic investors, infrastructure funds, family offices, government agencies, municipalities, and industrial partners
• Advancing the U.S. pilot project through financing, validation, permitting, and execution
• Securing strategic partnerships, project-development agreements, and commercial opportunities
• Establishing an experienced leadership, engineering, and advisory team
• Strengthening corporate governance, financial discipline, and investment readiness
• Developing a scalable commercialization model for North American and international markets

Preferred Experience

The ideal candidate will bring senior-level experience in one or more of the following areas:

• Waste-to-energy, renewable energy, distributed power, or clean infrastructure
• Project development, EPC, industrial technology, or utility markets
• Venture capital, infrastructure finance, or strategic fundraising
• Investor relations and capital-markets transactions
• Municipal, public-private, and government partnerships
• Corporate scaling, commercialization, and market entry
• ESG, environmental services, or circular-economy platforms

We are particularly interested in a hands-on leader who can operate effectively at the founding stage-translating technology and market potential into a financeable pilot, a credible commercial pipeline, and an institutional investment proposition.

Pre-Seed Compensation Structure

This is a founding-stage, equity-led executive opportunity - not an immediately salaried corporate position.

The proposed structure includes:

• Meaningful executive equity participation >10%, subject to vesting, milestones, Board approval, and definitive agreements.
• Founding-stage ownership incentives aligned with fundraising and commercialization objectives
• 240K salary after successful financing only.
• Competitive executive salary and benefits activated following a qualifying capital raise only.
• Potential performance 50% yr.bonus -based incentives linked to capital formation, pilot execution, and commercial growth.

The selected candidate must be prepared to contribute during the pre-funding stage under an agreed scope, time commitment, and milestone-based framework, with the expectation of transitioning into a full-time salaried CEO role once the company is adequately capitalized.
