Mid-Level Transactional Tax Associate

Job Overview A law firm seeks a mid-level Transactional Tax Associate in San Diego, CA. The ideal candidate will have 6-8 years of experience advising on domestic transactional tax matters, supporting a variety of corporate and real estate transactions. Duties Advise clients on U.S. federal income tax aspects of mergers and acquisitions, partnership formations, and restructurings. Structure and analyze transactions involving partnerships, LLCs, and corporations. Draft and negotiate tax provisions in various agreements. Provide tax support on real estate joint ventures and other transactional matters. Conduct tax diligence and prepare memoranda analyzing transaction structures. Collaborate with attorneys across corporate, real estate, and finance practices. Requirements Experience drafting and negotiating complex transactional documents. Strong background in domestic partnership and corporate tax matters. Demonstrated analytical, drafting, and negotiation skills. Excellent academic credentials and attention to detail. Ability to manage multiple matters and interact directly with clients. Education Juris Doctor degree from an ABA-accredited law school. Certifications Active California Bar admission. Skills Strong analytical and negotiation skills. Proficiency in drafting complex agreements. Ability to collaborate effectively across disciplines. Benefits Performance-based incentive compensation.
