Position Summary Taft is looking for a team-oriented Corporate Associate to join the Cleveland office. Taft is seeking a team-oriented Associate to join our corporate practice group in Cleveland, with a focus on middle-market private equity and transactional work. This position offers the opportunity to work closely with partners and clients on sophisticated transactions across a broad range of industries. The Associate will be a key member of Taft’s ESOP practice. Responsibilities The ideal candidate will have 4-6 years of experience handling substantive corporate and transactional matters, including M&A (buy-side and sell-side), entity formation and governance, financing and restructuring, and other complex business transactions. Candidates should have strong drafting and negotiation skills, sound business judgment, and the ability to manage deal execution in a collaborative, fast-paced environment. Candidates will draft term sheets, conduct due diligence reviews of data rooms, and prepare due diligence reports. Candidates will draft transaction documents including but not limited to purchase agreements, seller notes, board resolutions, and employment agreements. Additionally, candidates will assist with post-closing transaction matters including but not limited to purchase price adjustments, board training materials, and board service agreements and will assist with day-to-day general client counseling. ESOP transaction experience preferred but not required. Compensation & Benefits Taft offers competitive compensation and a comprehensive benefit package, including medical, dental, vision, life, long-term disability, flexible spending, 401K, paid time off, paid holidays, bonus and more. The salary range for this position is $210,000/yr. – $265,000/yr. Actual compensation offer to candidate may vary from posted information based on work experience, education, and/or skill level.
