Associate General Counsel
Jobrapido
Company Mission Statement: HPM positively impacts communities by providing specialty healthcare to rural America on behalf of an underserved population. Job Title: Associate General Counsel Reports To: Chief Executive Officer Classification: Salaried, Exempt Position Summary The Associate General Counsel serves as HPM’s primary internal legal resource and a strategic partner to the CEO and senior leadership team. This role owns and coordinates day-to-day legal matters while providing practical, business-minded guidance on healthcare regulatory requirements, contracting, provider compensation, corporate structures, entity governance, and strategic growth initiatives. The Associate General Counsel will proactively develop scalable legal frameworks and will manage outside counsel when specialized expertise or state-specific advice is required. Duties & Responsibilities: Advise leadership on healthcare regulatory matters, including Corporate Practice of Medicine (CPOM), Stark Law, the Anti-Kickback Statute (AKS), federal and state fee-splitting restrictions, False Claims Act exposure, Fair Market Value (FMV), commercial reasonableness, and related requirements to support compliant business decisions. Guide the design, implementation, and ongoing maintenance of HPM’s MSO, Friendly PC/PLLC, and physician-practice structures across multiple states while preserving appropriate clinical independence and protecting HPM’s legitimate management interests. Coordinate state-specific legal and regulatory analysis as HPM enters new markets, adds specialties, or develops new hospital and physician partnerships to create repeatable frameworks for national growth. Draft, review, negotiate, and manage healthcare agreements, including Professional Services Agreements, Management Services Agreements, hospital coverage and specialty service-line agreements, provider-services agreements, Business Associate Agreements, Letters of Intent, NDAs, amendments, renewals, and other strategic arrangements. Partner with Business Development, Operations, Finance, People, and executive leadership to translate business models and operational needs into commercially practical and legally defensible agreements. Draft, review, and advise on physician, CRNA, APP, independent contractor, medical director, recruitment, fellowship/training, restrictive covenant, transition, and termination agreements to support HPM’s provider workforce. Advise on provider compensation structures, including productivity, wRVU, incentive, retention, and other compensation arrangements, and coordinate with Finance and independent valuation experts to ensure FMV and commercial reasonableness support where required. Oversee corporate governance and entity management for HPM’s growing organizational structure, including entity formation, state registrations, organizational documents, board/member and officer actions, ownership documentation, intercompany agreements, corporate records, and compliance calendars. Support strategic transactions and growth initiatives, including new-state and new-specialty expansion, acquisitions, joint ventures, strategic partnerships, corporate reorganizations, financing transactions, equity or phantom-equity programs, long-term incentive arrangements, and due diligence. Build and maintain scalable legal operations, including contract templates, intake and approval workflows, signature authority, contract repository standards, renewal and termination tracking, and legal playbooks that allow routine matters to move efficiently. Serve as the primary internal coordinator for outside counsel; determine when specialized external expertise is required, manage legal matters and work product, and promote disciplined and predictable external legal spend. Monitor material legal and regulatory developments affecting HPM and communicate practical implications, risks, and recommended actions to leadership and operational teams. Perform other legal and strategic duties as assigned in support of HPM’s continued growth and mission. Performance Requirements: Demonstrates strong legal judgment and consistently provides accurate, practical, solutions-oriented guidance that balances regulatory risk with HPM’s business objectives. Completes legal reviews, contract negotiations, and assigned matters in a timely manner while maintaining strong organization, follow-through, and attention to detail. Communicates complex healthcare legal concepts clearly and concisely to executives, operators, providers, and other non-legal stakeholders. Works collaboratively across departments and with outside counsel, valuation experts, physician owners, hospitals, and other partners while maintaining professionalism and sound judgment. Demonstrates initiative and critical thinking in ambiguous or rapidly changing situations and develops scalable solutions rather than addressing recurring legal issues one matter at a time. Maintains strict confidentiality and exercises appropriate discretion when handling privileged, sensitive, proprietary, or personnel-related information. Understands the operational and financial implications of legal recommendations and helps leadership identify defensible paths forward rather than focusing solely on barriers or theoretical risk. Maintains current knowledge of healthcare regulatory developments and proactively identifies areas requiring policy, contract, governance, or structural updates. Minimum Qualifications: Active membership in good standing with at least one U.S. state bar. Strong working knowledge of healthcare regulatory law, including Stark Law, AKS, CPOM, MSO/physician-practice structures, FMV, commercial reasonableness, provider compensation, and healthcare contracting. Ability to independently structure, draft, review, and negotiate sophisticated healthcare and commercial agreements. Ability to support a multi-state healthcare organization and coordinate state-specific legal requirements as needed. Ability to travel periodically based on business needs. Experience: Approximately 6+ years of progressively responsible legal experience, with meaningful experience in healthcare regulatory matters. Experience working in-house for a healthcare MSO, physician practice management organization, multi-state physician group, specialty healthcare organization, hospital-based physician services company, or other rapidly growing healthcare platform is strongly preferred. Experience with provider contracting and compensation arrangements and with agreements between healthcare providers and hospitals or health systems is strongly preferred. Experience with healthcare M&A, joint ventures, physician-practice acquisitions, corporate governance, entity management, private equity transactions, or long-term incentive structures is preferred. Experience with rural healthcare, Critical Access Hospitals, pain management, orthopedics, anesthesia, or other specialty physician services is a plus. Education: Juris Doctor (J.D.) degree from an accredited law school.
