Fenwick’s corporate group provides services to technology and life sciences companies at all stages of development, from early start‑ups to mature, publicly traded corporations. Role Overview We are seeking a mid‑level corporate associate with over three (3+) years of experience advising public companies or investment banks for our Capital Markets and Public Companies group. The position is available in any Bay Area (Silicon Valley or San Francisco), Seattle, Santa Monica, New York or Washington D.C. office. Key Responsibilities Advise public companies on SEC compliance, disclosure, governance, and exchange matters. Represent issuers or investment banks in capital market transactions, including IPOs, SPACs, direct listings, and follow‑on offerings. Participate in deal execution, draft and review transaction documents, and support post‑transaction corporate governance matters. Provide strategic counsel to technology and life sciences clients on capital market and regulatory matters. Qualifications 3+ years of experience advising public companies or investment banks in capital markets. Experience with SEC compliance, disclosure, governance, and exchange matters. Knowledge of and affinity for technology and/or life sciences companies (preferred). Superior academic credentials and excellent oral, written, and interpersonal skills. Must be admitted to the bar in the state of the office or eligible to sit/waive into the next bar exam. Benefits and Compensation Anticipated salary range: $260,000 – $390,000. Base salary depends on qualifications, experience, education, certifications, and location. The position may also include a discretionary bonus based on performance.
