Corporate Governance Counsel - Florida Licensed

Providing specialized legal counsel, the full-time salaried Corporate Governance Counsel - Florida Licensed will support the Board of Directors and its committees by offering governance advice, managing Board materials, and ensuring compliance with regulatory requirements in a remote capacity. Key Responsibilities: Provide comprehensive legal counsel and advisory services to the Board of Directors and its committees on governance frameworks and regulatory matters Develop and update corporate governance policies and procedures to ensure compliance with applicable laws and best practices Prepare and manage Board meeting materials, ensuring proper documentation and confidentiality of Board information Required Qualifications: Juris Doctorate degree from an accredited law school with 8-12 years of professional legal experience Admission to at least one state bar, with the ability to be certified in Florida as Authorized House Counsel if admitted elsewhere Demonstrated expertise in corporate governance and Board administration Strong knowledge of corporate and commercial law, including contract analysis Experience advising boards of directors or senior leadership on governance and compliance matters
