Tax Associate Attorney

Oxford Solutions is working with a law firm client seeking a Mid-Level Tax Associate Attorney to join its transactional tax practice. This is a direct hire, onsite opportunity with flexibility to work from offices located in Pittsburgh, PA; Charlotte, NC; or New York, NY.

This role is ideal for an attorney with 3 to 5 years of experience in a large law firm or highly regarded tax practice who focuses on the tax structuring of complex business transactions. The position centers on transactional tax matters rather than tax controversy or litigation.

Responsibilities:

• Advise clients on the tax aspects of mergers, acquisitions, private equity transactions, and financing arrangements
• Draft, review, and negotiate tax provisions in merger agreements, stock purchase agreements, asset purchase agreements, and related transaction documents
• Structure and analyze partnership, joint venture, and limited liability company agreements
• Provide guidance on tax considerations related to equity and debt financing transactions
• Support deal teams and independently manage discrete components of sophisticated transactions
• Collaborate with corporate attorneys and client stakeholders to ensure tax-efficient deal execution

Qualifications:

• 3 to 5 years of transactional tax experience within a law firm environment
• Strong background in M&A, private equity, and financing transactions
• Demonstrated experience drafting and negotiating tax provisions in complex agreements
• Ability to independently manage portions of deals with minimal supervision
• LL.M. in Taxation preferred
• Admission to the bar in the state of the office location (or ability to obtain admission)
