$190,000 – $300,000+

A nationally recognized AmLaw 100 firm is seeking a Business Associate Attorney to join its Cincinnati office.

This opportunity is ideal for an attorney interested in representing privately held companies, public companies, entrepreneurs, investors, lenders, and private equity sponsors in a broad range of sophisticated corporate and business transactions.

• 2–6 years of sophisticated corporate or business transactional experience gained at a law firm

• Experience representing private and public companies, business owners, investors, lenders, and private equity sponsors

• Experience handling mergers and acquisitions, business formations, reorganizations, corporate restructurings, and strategic business transactions

• Experience drafting and negotiating asset purchase agreements, stock purchase agreements, operating agreements, shareholder agreements, partnership agreements, commercial contracts, and other corporate transaction documents

• Experience advising clients on corporate governance, entity management, business operations, and general corporate matters

• Experience conducting legal due diligence, managing transaction closings, and coordinating multidisciplinary deal teams

• Experience with private equity, financing transactions, securities matters, or commercial lending is a plus

• Strong drafting, negotiation, analytical, and client counseling skills

• Ability to independently manage sophisticated matters while maintaining significant client interaction

• Excellent academic credentials

• J.D. from an ABA-accredited law school required

• Ohio bar admission required or ability to become admitted
