About The Role We are seeking a highly skilled and motivated Senior Paralegal to join our in-house Legal and Compliance team. Reporting directly to the General Counsel, this role is the operational backbone of the legal and compliance department — managing critical workflows across subsidiary governance, intellectual property, litigation support, contract administration and support as well as special projects. The ideal candidate brings deep experience in a corporate legal environment within the life sciences or pharmaceutical industry, thrives in a fast-paced public company setting, and brings exceptional judgment, organizational excellence, and a service-oriented mindset. This is a hybrid position requiring three days per week in the office. Key Responsibilities Corporate and Subsidiary Governance Own and maintain the global subsidiary governance program, including qualification to do business, and annual compliance filings across all domestic and international subsidiaries. Maintain accurate and current corporate records — including articles of incorporation, bylaws, operating agreements, minute books, and officer/director registers — for all legal entities in the corporate structure. Prepare and coordinate board and shareholder resolutions, written consents, and officer certificates for subsidiaries in support of operational, financing, and transactional needs. Partner with outside registered agents and local counsel in domestic and international jurisdictions to ensure entity good standing and satisfy local regulatory requirements. Support the Corporate Secretary function, including coordination of board meeting materials, minutes, and director communications for the parent company. Serve as a go‑to resource for internal stakeholders in Finance, Tax, and Treasury on entity-level matters, including organizational charts and intercompany agreements. Coordinate and manage the Company’s ESG Steering Committee with oversight from the General Counsel. Project Management and Legal Operations Lead and coordinate cross‑functional legal projects from initiation through completion, establishing timelines, tracking deliverables, and communicating status to attorneys and business stakeholders. Oversee legal spend tracking, invoice review, budget monitoring, and outside counsel coordination, including matter management in the department’s billing system. Support continuous improvement initiatives across legal operations, identifying technology and workflow solutions to increase departmental efficiency and scalability. Organize and manage department off‑sites and internal meetings. Intellectual Property Support Coordinate with outside IP counsel to manage the company’s patent and trademark portfolio across all product lines, tracking prosecution timelines, maintenance fee schedules, and expiration dates. Support ANDA‑and NDA‑related legal activities, including coordination of patent certifications (Paragraph IV), exclusivity tracking, and Orange Book correspondence as directed by supervising attorneys. Maintain IP dockets and records in the department’s IP management system, ensuring accuracy and timely escalation of critical deadlines. Assist with IP due diligence in support of M&A and licensing transactions, including file histories, freedom‑to‑operate searches, and assignment recordation. Litigation and Risk Management Support Support in‑house attorneys and outside litigation counsel on active matters, including product liability, Paragraph IV patent challenges, government investigations, and commercial disputes. Manage litigation holds, coordinating with IT and business units to identify custodians, preserve relevant information, and document the hold process. Assist with discovery coordination, including document collection and review workflows, e‑discovery platform management, and privilege log preparation. Prepare and organize materials for regulatory inquiries, governmental investigations, and internal compliance reviews, exercising strict confidentiality and sound judgment. Maintain organized litigation files, dockets, and court deadlines across all pending matters. Contract Administration and Contract Lifecycle Management Serve as the primary administrator of the Company’s contract lifecycle management (CLM) system, maintaining data integrity, version control, workflow configurations, and cross‑functional accessibility for business partners. Assist with developing along with counsel, and maintain, a robust library of contract templates and standard fallback positions to accelerate deal velocity while managing legal risk. Track contract milestones, renewal dates, and key obligations; proactively alert business partners and attorneys to material deadlines. Manage document execution workflows end to end, including DocuSign or equivalent e‑signature processes, cross‑referencing originals, and maintaining executed agreement files in the CLM system. Identify and implement process improvements to enhance contract turnaround times, compliance, and reporting capabilities. Legal Operations and Department Excellence Serve as a department‑wide resource for document management, legal spend tracking, budget monitoring and vendor coordination with outside counsel firms. Organize and maintain ANI's legal training platform, ensuring timely completion of policy attestations and compliance trainings across the organization. Manage document execution workflows with precision, including cross‑referencing originals, coordinating DocuSign or equivalent processes and maintaining executed agreement files. Originate correspondence, memoranda and other legal communications with professionalism and attention to detail. Skills Experience supporting corporate and subsidiary governance activities in a publicly traded company environment. Proficiency with contract lifecycle management systems (SecureDocs or comparable platforms), Microsoft Office Suite (Word, Excel, PowerPoint), and DocuSign. Demonstrated ability to manage multiple, concurrent, high priority workstreams with accuracy, sound judgment and minimal supervision. High degree of professional integrity, discretion and sound judgment when handling sensitive and confidential information. Exceptional written and verbal communication skills. Requirements Paralegal certificate from an ABA‑approved program or degree from an accredited 2 or 4‑year college required. 7+ years of paralegal experience in a law firm or corporate legal department, with demonstrated exposure to pharmaceutical, biotech or life sciences industry matters strongly preferred. Active Notary Public certification required. Less than 10% Travel. The base salary range for this position is$110,000 - $145,000; the exact salary depends on various factors such as experience, skills, education, location, competencies and industry‑specific knowledge.
