Boston Technology Transactions Mid-Level Associate

Paul Hastings’ Technology Transactions Group is seeking a Mid‑Level Associate to join their dynamic and growing team in Boston. This is a unique opportunity to work at the forefront of technology, intellectual property, and commercial law, advising leading clients across industries on complex, high‑value transactions and emerging issues, including artificial intelligence, and to collaborate with, and be mentored by, market leading attorneys. Key Responsibilities Draft, review, and negotiate a broad range of complex commercial agreements, including licenses, development and collaboration agreements, SaaS agreements, data use agreements, and strategic partnership agreements. Conduct and manage intellectual property and technology due diligence in connection with mergers, acquisitions, financings, and other corporate transactions. Counsel clients on legal and regulatory issues related to artificial intelligence, including model development, data governance, risk allocation, and compliance considerations. Advise clients on the licensing, protection, and commercialization of technology assets. Stay current on developments in technology law, AI regulation, and market trends, and contribute to client alerts and thought leadership. Qualifications 3–5 years of technology transactions experience in a law firm. Demonstrated experience drafting and negotiating technology and commercial agreements and with intellectual property concepts and due diligence processes. Excellent analytical, writing, and communication skills. Strong academic credentials and admission to, or eligibility to waive into, Massachusetts. Must be in good standing in the state. Compensation The salary range for this position is a minimum of $260,000 and a maximum of $390,000 annually, varying based on experience and other relevant factors.
