As Director, BLA - Corporate M&A, you will support complex transactions from evaluation through closing, partnering closely with business partners and cross-functional teams across the organization. This role requires a significant M&A experience as well as general corporate knowledge and exceptional drafting and negotiating ability.What you'll do:Provide support for all aspects of global M&A, strategic investments, joint ventures, divestitures, and other corporate transactions.Draft, negotiate, and finalize a wide range of transactional agreements, ranging from engagement letters, approval documents, NDAs and term sheets to joint venture agreements and, equity and asset purchase agreements.Drive and manage due diligence, including issue spotting, risk evaluation, coordination of internal stakeholders, and supervision of outside counsel.Lead cross-functional workstreams, collaborating with Finance, Strategy, Tax, HR, Operations, and other internal partners throughout the transaction lifecycle.Manage and provide general corporate advice relating to governance matters and other issues relating to past and current transactions.Enhance deal processes, advising on best practices, developing scalable procedures, and driving continuous improvement in diligence and execution workflows.Who you are:Minimum of 3 years of relevant experience at a major law firm; with significant responsibility in supporting complex M&A transactions; JD from a reputable law school; admitted to the New York Bar and in good standing.Exceptional negotiating and drafting skills with keen attention to detailExceptional communication and analytical capabilities, capacity to articulate complex legal concepts clearly in both written and oral formats.Highly collaborative with a service-oriented mindset to help progress transactions to a successful closing.Demonstrated ability to manage competing priorities in a fast-paced environment while maintaining a high standard of accuracy and judgment.Flexibility to support broader corporate legal needs outside of M&A as business priorities evolve.What we give you:You join an inclusive, collaborative and global community where you have the opportunity to channel your passion every day A modern office environment designed to foster productivity, creativity, and teamwork empowering you to bring your best An attractive and comprehensive benefits package including medical, dental, vision, life & disability coverage, and 401K + employer matching Voluntary benefits like company-paid identity theft protection and resources for pets, mental health and meditation resources, industry-leading fertility coverage, fully paid leave for childbirth or bonding, fully paid leave for caregivers, programs for loved ones with developmental disabilities and neurodiversity, subsidized back-up child and elder care, and reimbursement for adoption, surrogacy, tuition, and student loans Investment in your professional growth and development enabling you to thrive in our vibrant community.
