Associate Legal Counsel

About the role The Associate legal counsel role supports a wide range of matters in assigned areas and will involve greater independent interactions on substantive matters of importance to the business. The legal support and counsel primarily includes supporting the corporate legal function and various other functions (including finance, treasury, tax, pensions, HR, etc.) but may connect to other commercial and litigation matters, and various global projects. Through the provision of legal counsel and guidance, the Associate Legal Counsel role ensures that business activities comply with all relevant laws, regulations and ethical standards globally. Key Job Accountabilities Advise on a number of corporate projects (including as Lead), including those relating to tax, pensions, legal restructurings, treasury matters, subsidiary management and other corporate matters Support the management (including draft, review, revision, negotiation, completion, renewal, etc.) of a wide range of agreements and/or clauses, including commercial agreements, banking / treasury documents, terms of engagement for advisers and consultants, etc. Identify and analyze legal issues, drafting applicable key documents, presenting clear recommendations and ensuring compliance. Evaluate and provide advice on legal risk with associated business opportunities Partner with Human Resources in applicable employment-related matters Manage litigation, arbitration and other aligned matters of representation Participate in legal briefings, acting as the organizational representative Prepare for and participate in the resolution process of disputes (e.g. governmental investigation, tax, etc.) Subsidiary Governance & Compliance including implementing governance frameworks, managing legal entity compliance and maintaining accurate corporate records Support adherence to a legal budget for the practice group, including costs for internal salaries, training, travel and outside legal and professional expenses Qualifications/Requirements Law degree (minimum LLB / Juris Doctorate) required with qualification to practice in applicable country/ies 1-2+ years' legal & compliance experience in first-class law firm and/or in-house legal environment Strong preference for a US or UK-qualified solicitor with top-tier law firm training or experience Experience in commercial contracts (including procurement contracts), corporate law and general compliance required Experience in partnering with and managing external counsel highly preferred Experience in packaging industry, and B2B environment preferred Some experience with labor and employment matters is a plus Experience with M&A is a plus Experience of Pension matters Some experience of UK company law and company filings is a plus Experience of legal entity management in a multi-jurisdictional business is a plus Up to 25% travel.
