Contracts Manager, Procurement

We are seeking an experienced Contracts Manager to support the Procurement team through the review, negotiation, administration, and management of supplier contracts and commercial agreements. This role will serve as the primary procurement resource for evaluating contract language, managing redlines, reviewing terms and conditions, identifying contractual risk, and partnering with Legal and business stakeholders to ensure agreements align with company standards and business objectives.

The ideal candidate will have a strong background in contract review and negotiation, exceptional attention to detail, and experience managing commercial agreements in a manufacturing, food production, or supply chain environment.

Key Responsibilities

Contract Review & Negotiation

Review, analyze, and negotiate supplier contracts, master service agreements (MSAs), purchase agreements, statements of work (SOWs), non-disclosure agreements (NDAs), transportation agreements, software agreements, and other procurement-related contracts.

Lead the review of supplier terms and conditions to identify legal, financial, operational, and commercial risks.

Draft and manage contract redlines and negotiate revisions with suppliers and their legal representatives.

Partner with internal Legal Counsel to address complex contractual provisions and facilitate timely contract execution.

Ensure contracts accurately reflect negotiated commercial terms and business requirements.

Risk Management & Compliance

Evaluate contractual language related to indemnification, limitation of liability, insurance requirements, warranties, termination rights, confidentiality, force majeure, data privacy, and dispute resolution.

Identify potential areas of risk and recommend alternative language to protect the company's interests.

Maintain consistency in contract standards and approved legal language across procurement agreements.

Support compliance with internal procurement policies and corporate governance requirements.

Stakeholder Collaboration

Act as a liaison between Procurement, Legal, Finance, Operations, IT, and other business functions during contract negotiations.

Advise stakeholders on contractual obligations, key risks, and negotiation strategies.

Support procurement initiatives by providing guidance on contract structure, commercial terms, and supplier commitments.

Contract Administration

Manage the contract lifecycle process from intake through execution, amendment, renewal, and termination.

Maintain accurate records within contract management systems and ensure all executed agreements are properly stored.

Track contract renewals, notice periods, pricing adjustments, and key contract milestones.

Develop reports and metrics related to contract status, cycle times, and risk management activities.

Required

Bachelor's degree in Business, Supply Chain, Legal Studies, Finance, or related field.

5+ years of experience reviewing, negotiating, and administering commercial contracts.

Experience managing contract redlines and negotiations with external vendors and suppliers.

Strong understanding of contract terms and conditions, legal risk management, and commercial contracting principles.

Excellent written communication, negotiation, and stakeholder management skills.

Exceptional attention to detail and ability to manage multiple agreements simultaneously.

Preferred

Experience supporting procurement or supply chain organizations.

Background in food manufacturing, agriculture, consumer packaged goods (CPG), or industrial manufacturing.

Familiarity with contract lifecycle management (CLM) systems, SAP, Ariba, or Coupa.

CPCM, CPSM, or similar contract/procurement certification.

This is a Contract position based out of Sacramento, CA.

Pay and Benefits

The pay range for this position is $52.88 - $62.50/hr.

Individual compensation offered for this position within this range will depend on many factors, including qualifications, skills, relevant experience, job knowledge, geographic location, internal equity, and other pertinent job-related factors.
