Corporate Governance Mid-Level Associate

Job Overview A law firm seeks a talented mid-level associate to join their Corporate Governance and Special Committee practice in New York, NY. This role offers the opportunity to work on sophisticated, board-level matters involving fiduciary duties, special committees, activism defense, M&A, governance, and Delaware Court of Chancery litigation. Duties Advise boards of directors, special committees, and management on corporate law issues. Support special committee representations in conflict transactions. Assist clients with activism preparedness and governance audits. Advise on M&A transactions, including deal structuring and litigation risk management. Research and advise on corporate law developments and implications. Draft board materials, legal opinions, and client memoranda. Support Delaware Court of Chancery litigation matters. Collaborate with partners across various practice groups. Requirements J.D. from a top-tier law school with excellent academic credentials. 3-6 years of experience at a major law firm with Delaware corporate law exposure. Strong understanding of Delaware General Corporation Law and fiduciary duties. Experience with Nevada corporate law is a plus. Experience with special committees, conflict transactions, or M&A matters preferred. Exceptional legal research, writing, and analytical skills. Ability to work independently and manage multiple matters simultaneously. Strong client service orientation and business judgment. Admission to California bar; Delaware or Nevada bar admission a plus. Education J.D. from a top-tier law school. Certifications Admission to California bar; Delaware or Nevada bar admission a plus. Skills Strong understanding of Delaware General Corporation Law. Exceptional legal research, writing, and analytical skills. Ability to work independently and manage multiple matters.
