Ilant Health is seeking an experienced Associate General Counsel to support our growing legal and compliance needs as we scale partnerships with self-funded employers, Taft-Hartley plans, and fully-insured health plans (commercial and government). This role will serve as a key business partner across contracting, privacy, and corporate matters, with a strong focus on healthcare commercial agreements, HIPAA compliance, and external counsel oversight. The Associate General Counsel will be our first legal hire and report to the CEO. They will work closely with leadership across Finance, Sales, Operations, and Clinical.

Key Responsibilities

• Healthcare Contracting & Commercial Transactions
• Lead drafting, review, and negotiation of a wide range of healthcare agreements, including: Business Associate Agreements (BAAs) Contracts with self-funded ERISA employers Agreements with fully-insured health plans and payers Vendor, pharmacy, lab, and clinical services agreements Support contract structures for value-based and risk-aligned arrangements. Partner with Sales and Implementation teams to ensure contract execution aligns with operational delivery.
• Privacy & Regulatory Support
• Advise on HIPAA compliance and healthcare privacy obligations, including PHI data flows, and product and subcontractor requirements. Collaborate with compliance and clinical leadership on evolving federal and state healthcare regulatory matters impacting virtual care delivery.
• Corporate, Employment, and General Legal Oversight
• Manage and coordinate outside counsel across corporate governance, financings, employment matters, and other specialized legal needs. Support employment-related legal review including offer letters, policies, contractor relationships, and HR escalations. Assist with board materials, corporate records, and strategic legal initiatives as the company grows.
• Cross-Functional Business Partnership
• Provide practical, business-oriented legal advice to internal stakeholders Help establish scalable legal processes, contract templates, playbooks, and negotiation frameworks.

Qualifications

• Required JD from an accredited law school and active license to practice in at least one U.S. jurisdiction. 5–10+ years of relevant legal experience in a law firm and/or high-growth healthcare company. Significant experience negotiating: BAAs and HIPAA-related agreements Employer (ERISA) and payer contracting arrangements Healthcare services and vendor agreements Strong working knowledge of healthcare regulatory frameworks, including HIPAA privacy and security.
• Preferred Experience supporting provider organizations contracting directly with health plans and self-funded employers. Understanding of different insurance segments (Commercial/ERISA, Medicare, Medicaid) Familiarity with telehealth or value-based care models. Prior experience managing outside counsel efficiently in a resource-constrained, scaling environment.
