Paralegal

Location: Sunrise, Florida Department: Legal Reports To: Chief Legal Officer/General Counsel Employment Type: Full-Time Position Summary Transpire Bio is seeking an experienced Paralegal to support the company’s legal, intellectual property, contracting, and corporate compliance activities. This position will work closely with the General Counsel and Transpire Bio attorneys, and collaborate with internal departments, outside counsel, and business partners in the United States, China, the United Kingdom, and other international markets. The ideal candidate will be fluent in English and Mandarin and have meaningful experience reviewing, preparing, and administering commercial contracts and supporting intellectual property matters . Experience within the pharmaceutical, biotechnology, or medical-device industry is preferred. Key Responsibilities Contract Management Draft, review, revise, and coordinate routine commercial agreements under the direction of legal counsel, including confidentiality agreements, consulting agreements, vendor and supplier agreements, service agreements, clinical agreements, material transfer agreements, licensing-related documents, and other business contracts. Maintain the company’s contract-management system and ensure that fully executed agreements, amendments, renewals, and supporting documentation are properly recorded. Track important contractual dates, including renewals, expirations, notice periods, milestones, payment obligations, and termination rights. Coordinate contract reviews and approvals with Legal, Finance, Procurement, Clinical, Regulatory, CMC, Technical Operations, and other internal functions. For Mandarin-speaking candidates, assist with the preparation and review of agreements and legal communications involving Chinese business partners and affiliates. Identify and elevate nonstandard contract terms, issues, risks, and matters requiring attorney review. Intellectual Property Support Support the administration of the company’s global intellectual property portfolio, including patents, patent applications, trademarks, trade secrets, invention records, and licensing arrangements. Maintain intellectual property files, databases, docketing information, and supporting documentation. Track patent and trademark filing dates, prosecution deadlines, maintenance fees, renewals, and other critical dates in coordination with outside intellectual property counsel. Assist with invention disclosure forms and the collection of technical information from scientists, engineers, and other inventors. Coordinate the execution of inventor declarations, assignments, powers of attorney, and other intellectual property documents. Support intellectual property due diligence, freedom-to-operate reviews, licensing activities, and potential corporate or financing transactions. Help protect confidential information and trade secrets by supporting appropriate documentation, access controls, and employee or contractor acknowledgments. Pharmaceutical and Regulatory Legal Support Provide paralegal support for legal matters involving pharmaceutical product development, clinical programs, manufacturing, device development, and commercialization. Assist with agreements and documentation involving contract research organizations, contract development and manufacturing organizations, laboratories, clinical sites, consultants, and other development partners. Work effectively with scientific and technical teams supporting inhalation drug products, drug-device combination products, formulations, delivery systems, and related technologies. Support the organization of documents needed for regulatory, compliance, financing, partnership, licensing, or due-diligence activities. Corporate and General Legal Support Maintain corporate records, entity documents, board and committee materials, resolutions, approvals, and other governance records. Assist with corporate filings, annual reports, business licenses, and entity-management requirements. Coordinate document signatures, notarizations, certifications, and legalizations in the United States and internationally. Support litigation, investigations, audits, and legal holds, including document collection and coordination with outside counsel. Assist with legal invoices, matter-management records, and outside-counsel engagement documentation. Conduct factual and legal research as requested by General Counsel and Transpire Bio attorneys. Handle confidential and privileged information with a high degree of discretion. Perform other legal and administrative responsibilities as assigned. Required Qualifications Bachelor’s degree, associate degree in paralegal studies, or an equivalent combination of education and relevant experience. Paralegal certificate from an accredited program preferred. At least five years of relevant paralegal or legal support experience in a corporate legal department or law firm. Demonstrated experience supporting intellectual property matters, including patent documentation, docketing, invention disclosures, or coordination with intellectual property counsel. Experience drafting, reviewing, revising, and administering commercial contracts under attorney supervision. Professional fluency in English, including the ability to communicate regarding business and legal matters. Strong organizational skills and demonstrated ability to manage multiple matters, deadlines, and confidential documents. Excellent written communication, proofreading, research, and document-management skills. Proficiency with Microsoft Word, Excel, PowerPoint, Outlook, and electronic document-management or contract-management systems. Preferred Qualifications Experience in the pharmaceutical, biotechnology, life-sciences, or medical-device industry. Direct experience supporting drug development, drug-delivery devices, or combination products. Familiarity with pharmaceutical development functions such as CMC, clinical development, regulatory affairs, technical operations, manufacturing, and quality. Experience working with international affiliates, particularly organizations or business partners located in China. Experience supporting patent prosecution, licensing transactions, intellectual property due diligence, or freedom-to-operate activities. Familiarity with contracts commonly used in the life-sciences industry, including clinical trial agreements, laboratory agreements, material transfer agreements, development agreements, supply agreements, and CDMO/CRO agreements. Experience supporting a publicly traded company or a company preparing for an initial public offering. Professional fluency in Mandarin, including the ability to communicate regarding business and legal matters.
