Associate Attorney (Corporate 4-6 yrs)

Corporate Associate - M&A / Cannabis (4-6 Years) A growing New York boutique law firm with a nationally recognized cannabis practice is seeking a mid-level Corporate Associate with 4-6 years of U.S. law firm corporate transactional experience . This is a corporate transactional role with a meaningful focus on the cannabis industry. The attorney will advise companies, founders and investors on M&A, financings, corporate governance, commercial agreements and other strategic transactions. Cannabis is not incidental to the practice. Prior cannabis experience is not required, but genuine interest in representing clients in the industry is.reasing transaction responsibility and the opportunity to develop meaningful industry expertise. What You’ll Do Draft and negotiate stock and asset purchase agreements, operating and shareholder agreements, commercial contracts and related transaction documents. Handle M&A, financings, joint ventures and other corporate transactions from diligence through closing. Advise privately held companies, founders and investors on corporate governance and day-to-day business matters. Work directly with partners and clients while assuming meaningful responsibility for transaction execution. What We’re Looking For 4-6 years of corporate transactional experience at a U.S. law firm. Current mid-level corporate associate with substantive M&A/general corporate experience. Hands-on experience drafting and negotiating principal transaction documents , not solely diligence or transaction support. Strong corporate governance and commercial-contract experience. Excellent drafting, judgment and client-facing skills. Genuine interest in building expertise in the cannabis industry.
