Corporate Paralegal

Key Responsibilities Manage complex corporate transactions with limited supervision. Draft, review, proofread, and organize legal and transactional documents. Assist with public company and securities matters, including regulatory filings and corporate records. Support due diligence, legal research, and transaction closings. Prepare disclosures, agreements, questionnaires, financing documents, and closing materials. Maintain confidential information and improve document management processes. Coordinate with internal and external stakeholders throughout transaction lifecycles. Assist with pre-closing, closing, and post-closing activities. Qualifications Bachelor's degree required. Paralegal Certificate preferred. 5+ years of corporate paralegal experience with Capital markets, public company, IPO, corporate finance, or securities transaction experience is required. Knowledge of corporate and securities law and regulatory filing processes. Familiarity with SEC filings, corporate governance documentation, and transaction closing processes. Experience with legal research platforms and corporate governance tools. Strong proficiency in Microsoft Office, including Outlook, Excel, and PowerPoint. Excellent research, organizational, and time management skills. Ability to work accurately under deadlines while managing multiple priorities.
