Privacy & Commercial Contracts Attorney (In-House)

Job Description

Epiq Counsel is actively seeking a Privacy & Commercial Contracts Attorney to support our life sciences, pharmaceutical, or healthcare clients.

These in-house roles operate at the intersection of data privacy, global regulatory compliance, and complex commercial contracting, supporting sophisticated, high-volume legal functions in highly regulated, innovation-driven environments. The ideal candidate will bring deep experience negotiating privacy-forward agreements and advising.

Key Responsibilities

\n

\n
• Draft, review, and negotiate a wide range of complex commercial agreements, including: SaaS, software licensing, and technology agreements, data processing agreements (DPAs) and data sharing agreements, vendor, clinical, and services agreements.
\n
• Lead negotiation of privacy and data security provisions across commercial contracts, including: Cross-border data transfer mechanisms, including Standard Contractual Clauses (SCCs); Data localization and international data flow considerations; Risk allocation related to data breaches, security, and regulatory exposure.
\n
• Provide legal guidance on global privacy frameworks, including GDPR, HIPAA, and U.S. state privacy laws
\n
• Update and harmonize contract templates, clauses, and playbooks to ensure alignment with corporate privacy standards.
\n
• Support privacy risk assessments and ongoing compliance initiatives across business units.
\n
• Collaborate cross-functionally with legal, compliance, IT, procurement, and business teams to drive efficient contract execution and mitigate risk.
\n
• Leverage internal tools and platforms, including AI-enabled contract review technologies (e.g., Lagora), to support efficient drafting, review, and negotiation processes.

Qualifications

\n

\n
• J.D. from an accredited law school
\n
• Active bar license in good standing in at least one U.S. jurisdiction
\n
• 10-15+ years of relevant experience in Commercial contracts (technology, vendor, and services agreements) and data privacy and cybersecurity advisory.
\n
• Must have demonstrated experience with: Negotiation of cross-border data transfer provisions, including Standard Contractual Clauses (SCCs); Drafting and negotiating data processing agreements (DPAs); Integrating privacy requirements into commercial contracts
\n
• Must have experience with cross-border data transfers and associated contractual provisions
\n
• Must have experience GDPR-focused contractual provisions
\n
• Strong understanding of: GDPR, HIPAA, and U.S. state privacy frameworks
\n
• Demonstrated comfort leveraging AI-enabled legal tools and contract lifecycle technologies (e.g., Lagora or similar platforms) to drive efficiency in contract review, drafting, and negotiation workflows; proactive mindset toward adopting emerging legal technologies.
\n
• Experience supporting life sciences, pharmaceutical, or healthcare organizations strongly preferred.
\n
• Ability to independently manage a high volume of complex agreements and operate effectively in a fast-paced, cross-functional environment.
