Job Description

Major, Lindsey & Africa’s Interim Legal Talent group has a need for an interim Commercial Contracts Attorney to support a technology services company during a leave of absence. The engagement is expected to start as soon as possible, ideally by late September 2026, and run full-time for approximately four months.

Overview : Our client is seeking an experienced interim Commercial Contracts Attorney to serve as the primary legal resource for commercial contracting while its sole attorney is on leave. The attorney will review, draft, redline, and negotiate a broad range of customer, sales, vendor, procurement, RFP, MSA, purchase order, and technology-related agreements. The work is high-volume, business-facing, and fast-paced, with regular interaction with sales teams and field stakeholders.

Company: The client is a national technology services company providing managed IT, print, and other services and technology solutions to clients across a wide range of industries.

\n

Experience:

\n

\n
• Licensed attorney in good standing with strong commercial contract review, drafting, redlining, and negotiation experience
\n
• Experience with customer and sales agreements, vendor and procurement agreements, MSAs, purchase orders, RFPs, and related commercial documents
\n
• Comfortable advising on indemnification, limitation of liability, service levels, annual escalations, customer paper, public entity contracting limitations, and other commercial risk issues
\n
• Ability to manage high-volume, quick-turn contract work and prioritize urgent requests from a sales-driven organization
\n
• Able to operate independently, use practical legal judgment, and escalate issues appropriately with limited ramp-up
\n
• Technology contracts experience is strongly preferred, including managed IT, SaaS, software resale, hardware, cloud services, cybersecurity-adjacent matters, or managed services/provider experience
\n
• Prior in-house experience, especially in a sales organization or high-volume contracting environment, is helpful
\n

\n

Location: Remote – anywhere in the USA. Availability to work Central Time business hours is preferred.

\n

\n

Responsibilities:

\n

\n
• Serve as interim commercial contracts counsel as a company’s sole attorney
\n
• Review, draft, redline, and negotiate customer contracts, sales agreements, vendor contracts, procurement agreements, MSAs, purchase orders, and related commercial documents
\n
• Support RFP legal review, including RFPs that may range from quick review to more detailed contract analysis
\n
• Advise business stakeholders on common contracting issues, including indemnification, limitation of liability, service levels, annual escalations, public entity limitations, and acceptable risk positions
\n
• Work closely with sales directors, field sales personnel, and other business stakeholders across the organization
\n
• Escalate matters as needed, including issues that may require sales leadership, CFO-level approval, or outside counsel support
\n
• Coordinate with outside counsel on specialized, complex, or out-of-scope matters, including managed services provider issues, HR, labor and employment, disputes, insurance, IP, or pre-litigation matters
\n

Qualifications:

\n

\n
• Licensed attorney in good standing in at least one U.S. jurisdiction
\n
• Strong commercial contracts background, with the ability to quickly understand the company’s risk tolerance and contracting approach
\n
• Experience negotiating both customer-facing and vendor/procurement agreements
\n
• Familiarity with technology-related agreements, managed IT, SaaS, software, hardware, cloud services, cybersecurity, SOC compliance concepts, or managed services is preferred but not required
\n
• Ability to manage fast-paced, high-volume work while providing practical, business-oriented legal advice
\n
• Strong communication skills and confidence working directly with assertive sales stakeholders while maintaining diplomacy and professionalism
\n
• Collaborative, organized, and comfortable keeping internal stakeholders appropriately informed
\n
• Able to work remotely and be available during Central Time business hours
\n

Pay rate: $100/hour

\n
