Apply deep transactional and investment funds expertise to help improve how advanced AI systems interpret, reason about, and work with complex legal agreements. This remote contract opportunity focuses on delivering accurate, practical legal analysis, annotations, and drafting insight. Prior AI experience is not required. Key Responsibilities
- Review and annotate transactional agreements, including MSAs, SPAs/APAs, DPAs, LPAs, side letters, and NDAs.
- Analyze credit agreements, banking documents, SaaS and cloud service agreements, leases, employment agreements, and IP and technology licenses, then provide structured feedback.
- Contribute subject matter expertise in investment funds, asset management, private equity, M&A, and corporate and commercial law, with particular attention to contract drafting and negotiation.
- Clarify legal language and contractual terms for use in advanced AI learning materials.
- Draft sample clauses, identify material legal risks, and support the development of robust training data.
- Provide context on data privacy, cybersecurity, and technology transaction trends relevant to agreement analysis.
- Collaborate with legal professionals to benchmark agreement standards and identify best practices.
- JD from an accredited law school strongly preferred. An LLM may be considered with exceptional relevant experience.
- At least 8 years of experience in private equity, investment funds, M&A, or asset management legal practice, including significant responsibility for complex agreements.
- Demonstrated experience drafting, negotiating, and analyzing MSAs, SPAs/APAs, LPAs, DPAs, side letters, and NDAs.
- In-depth knowledge of contract-focused work across investment funds, banking and finance, technology and SaaS, and data privacy.
- Strong legal risk assessment, legal writing, annotation, communication, collaboration, and attention to detail.
- Ability to synthesize complex legal concepts clearly for varied audiences.
- Familiarity with emerging technology contract, data privacy, cybersecurity, and cloud service trends is a plus.
- Remote, independent contractor engagement.
- $90 to $130 per hour.
